On March 28, 2016, NTT DATA announced it had entered into a definitive agreement with Dell, Inc. to acquire Dell Services, accelerating the company’s position as a leading global IT services partner. The NTT DATA press release announcing the acquisition may be found here.  NTT DATA expects to complete its acquisition of Dell Services on November 2, 2016 (the “Acquisition Date”).

One of NTT DATA’s core values is “Clients First” which is a top priority for both NTT DATA and Dell Services. As such, NTT DATA’s expectation is that, before and after the Acquisition Date, suppliers will continue to deliver high-quality products and services. Suppliers should expect and plan for the following activities on or around the Acquisition Date:

  • Purchase Orders that were issued by Dell, on behalf of Dell Services, and remain in force, will be terminated one day prior to the Acquisition Date.
  • NTT DATA Services, LLC, formerly Dell Services, will issue a new Purchase Order made effective as of the Acquisition Date for the remaining balance (term and amount) of the terminated Dell Purchase Order.
  • Invoices submitted must reflect the correct Purchase Order, period of performance, and amount charged to facilitate proper payment.
  • Suppliers who have received a consent letter and agreed to clone an agreement will have the new Purchase Order reflecting the cloned agreement.

At all times through this process, the governing agreements and statements of work entered into between Suppliers and Dell (as they may have been amended through the vendor notification and consent process), shall remain in full force and effect.
